Terms of Service

By accessing or using Tradapt (the "Service"), you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms apply to all visitors, registered users, and paying subscribers. By creating an account or using any feature of the Service, you represent that you have read, understood, and accepted these Terms in full.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.

Tradapt is a trading journal and analytics platform that provides tools for trade logging, performance analytics, AI-powered coaching and insights, backtesting, and related educational content ("University").

The Service is provided for informational and analytical purposes only. Tradapt is not a regulated financial services firm. Nothing on the Service constitutes financial advice, investment advice, trading advice, or any other form of advice, and nothing should be construed as a recommendation to buy, sell, or hold any financial instrument.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable. We will not be liable to you for any modification, suspension, or discontinuation of features.

To access the full Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it up to date.
• Maintain the security of your password and promptly notify us at support@tradapt.com of any suspected unauthorised use of your account.
• Accept responsibility for all activities that occur under your account, whether or not authorised by you.
• Not share your account credentials with any third party.
• Not create multiple accounts to circumvent plan limits, suspensions, or other restrictions.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion.

Tradapt offers free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis.

Fees are non-refundable. All subscription payments are final and non-refundable, including in the event of early cancellation, account termination, or partial use of a billing period. Please refer to our Refund Policy at /refund-policy for full details.

You authorise Tradapt and our payment processor (Stripe) to charge the payment method on file at the applicable subscription rate, renewing automatically at the end of each billing period unless you cancel before the renewal date.

We reserve the right to change pricing with at least 30 days' written notice (by email or in-app notification). Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

If payment fails, we may suspend access to paid features until payment is resolved. We are not responsible for any service disruption resulting from payment failure.

Trading financial instruments, including stocks, options, futures, forex, cryptocurrency, and contracts for difference, involves substantial risk of financial loss. You may lose all or more than the funds you invest.

Tradapt's analytics and AI features are educational and informational tools only. They do not constitute financial advice. Past performance as shown in the Service is not indicative of future results. You are solely responsible for all trading decisions and their consequences.

Do not trade with money you cannot afford to lose. Seek independent financial advice from a qualified professional if you are unsure whether trading is appropriate for your circumstances.

The Service and all of its content, features, and functionality — including software, text, images, graphics, logos, icons, designs, and educational materials — are owned by Tradapt and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes. You may not:

• Copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.
• Reverse engineer, decompile, or disassemble any software component of the Service.
• Use the Service to build a competing product or service.
• Scrape or systematically extract data from the Service using automated means.
• Remove or alter any proprietary notices or labels on the Service.

Your own trade data remains your property. We do not claim ownership of the trade records, notes, and journal entries you create within the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and sharing of your data as described in the Privacy Policy.

Your trade data, notes, and journal entries belong to you. We will not sell your personal trade data to third parties. You may export your data at any time from Settings > Export Data.

You grant Tradapt a limited licence to store and process your data for the purpose of providing the Service, including using aggregated, anonymised data to improve our models and features.

You agree not to use the Service to:

• Engage in any unlawful activity, including market manipulation or fraud.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Introduce malware, viruses, or any harmful code.
• Harass, threaten, or harm any other user or person.
• Share or sell access to your account or credentials.
• Circumvent plan limits, usage caps, or access restrictions through any means.
• Use automated tools or bots to interact with the Service without prior written consent.
• Post or transmit content that is unlawful, defamatory, or infringes any third party's rights.

Violation of these prohibitions may result in immediate account termination and, where applicable, referral to law enforcement.

The Service is provided "as is" and "as available" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components.

To the fullest extent permitted by law, Tradapt, its directors, employees, and contractors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunity.
• Losses arising from trading decisions made using or informed by the Service.
• Service interruptions, data loss, or security breaches.

In any event, Tradapt's total aggregate liability to you shall not exceed the fees you paid to Tradapt in the three months immediately preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law under the laws of England and Wales.

UK Consumer Rights Act 2015: If you are a consumer in the United Kingdom, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

You agree to indemnify, defend, and hold harmless Tradapt and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service in breach of these Terms.
• Your violation of any applicable law or third-party rights.
• Your trading activities or financial decisions.
• Any data or content you submit through the Service.

The Service integrates with third-party providers including Stripe (payment processing), Supabase (data storage), OpenAI and Anthropic (AI features), Vercel (hosting), and market data providers. Your use of these integrations is also subject to those providers' terms of service.

We are not responsible for the accuracy, availability, or conduct of third-party services. Links to external websites are provided for convenience only and do not constitute endorsement.

You may cancel your subscription and close your account at any time from Settings > Billing. Cancellation takes effect at the end of the current billing period; no refunds are issued for unused time.

We may suspend or terminate your account immediately without notice if you breach these Terms, engage in prohibited conduct, or if we are required to do so by law.

Following account termination, you may request a copy of your data within 30 days. After that period, we may delete your data in accordance with our Privacy Policy.

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by email to your registered address or by in-app notification before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the updated Terms, you should discontinue use of the Service and close your account before the effective date.

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@tradapt.com. We will endeavour to respond within 14 days and attempt to resolve the matter in good faith.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Tradapt regarding the Service and supersede all prior agreements and understandings.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Tradapt may assign these Terms (including on a business transfer or merger) without restriction.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Force Majeure. Tradapt shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, infrastructure failures, or third-party service outages.
